Regulatory Compliance
Axon Advisors strictly enforces regulatory compliance by all parties involved in a consulting engagement, to safeguard against the disclosure of confidential information, including material inside information within the meaning of U.S. federal securities laws, or the disclosure of Axon Advisors’, our experts’ or clients' confidential information. All clients and experts must agree to standard Terms and Conditions that restrict their activity. These Terms and Conditions are intended to benefit all parties and ensure that all consultations will be carried out in accordance with applicable laws and will not lead to the improper disclosure of confidential information.
Clients
Clients agree that they will not intentionally seek to elicit or utilize material nonpublic or confidential information from experts. Failure to do so will result in termination of service.
Experts
Prior to every consultation with a client, experts must agree to our Terms and Conditions, verify that the topics to be discussed do not violate any preexisting agreement, and provide a list of specific topics they cannot discuss. Our contract restricts experts from divulging information specific to the company at which they work or material or relevant nonpublic information concerning any public company. Should experts become concerned that their participation in a consulting engagement could result in a violation of any law, regulation, agreement, our Terms and Conditions or other obligation they may have, they must discontinue their participation in the engagement immediately. We guarantee experts full compensation for the consult, even if they terminate it early due to questions they consider inappropriate.
Employers
Axon Advisors insists that experts act according to any non-disclosure agreements or other restrictions they have with their employer that apply to their consulting activity. Employers are encouraged to contact Axon Advisors to discuss policies relating to their employees consulting as industry experts. At an employer’s request, we implement a strict policy disallowing any of their current employees to consult. Employers may specify who within their company may consult, with what types of clients, and what topics are open for discussion.
